Terms of Service
The contract between you and Block Apps LLC doing business as Halo. Read Section 19 carefully. It includes a binding arbitration agreement and a class action waiver.
§1Acceptance & eligibility
These Terms of Service (“Terms”) are a contract between you and Block Apps LLC d/b/a Halo (“Halo,” “we,” “us,” or “our”). By creating an account, activating a line, or otherwise using the Services, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy (Section 8).
You must be at least 18 (19 in Alabama and Nebraska; 21 in Mississippi), a US resident with a US billing address, and able to form a binding contract under applicable law. Business accounts may be opened by an authorized representative.
§2About the Services
Halo provides wireless voice, messaging, and data service in the United States, along with complementary privacy features. For purposes of federal and state regulation, Halo is a communications carrier and is subject to applicable rules governing such carriers.
Wireless service is delivered through licensed network infrastructure operated by third parties. The privacy features we include (such as spam filtering, secondary phone numbers, virtual private network, data-removal services, and breach monitoring) are software- and partner-delivered features and are summarized in Section 9.
2.1 Network management and transparency
Halo wireless service is subject to network-management practices applied by our underlying network provider, which may include prioritization, deprioritization during congestion, and speed or throughput limits. Standardized broadband consumer labels disclosing typical speeds, latency, and pricing for each plan are available at switchtohalo.com/broadband-facts and in your account settings, in accordance with FCC broadband-labeling rules.
2.2 Caller ID authentication (STIR/SHAKEN)
Halo participates in the STIR/SHAKEN caller-ID authentication framework as required by the FCC. Calls originating from your Halo line are cryptographically signed to help called parties verify that the displayed caller ID is legitimate and has not been spoofed.
§3Emergency services
3.1 Primary line
Your primary Halo line supports Enhanced 911 (E911) service in accordance with applicable FCC rules. When you dial 911, the call is routed to the appropriate public-safety answering point with the location information the underlying network is able to provide. Location accuracy depends on technical conditions, including device, network availability, and environment.
3.2 Limitations
- Emergency calling is available only after your line is fully activated and registered to the network
- Location accuracy may be reduced indoors or in dense urban environments
- If you use WiFi calling, your registered address is used as the default emergency location - keep it accurate in your account settings
- If your device or the network is unavailable, emergency calling may be unreachable
- Power outages and software faults can prevent emergency calling
- Accessible-text users should follow the guidance in Section 14
3.3 Secondary phone numbers do not support 911
3.4 Keep your registered address current
You must keep your registered emergency address in your account settings accurate. Inaccurate address information may delay or misroute emergency response.
§4Activation and devices
The Services require an unlocked, eSIM-compatible device that is compatible with the underlying network. You are responsible for confirming compatibility before signing up.
Activation occurs when you complete on-device setup. Until activation is complete and your line is registered, the Services (including emergency calling) are not available.
If your device is locked to another carrier or has unpaid balances with another carrier, activation may fail. We are not responsible for charges, fees, or limitations imposed by your prior carrier.
§5Phone numbers and portability
5.1 Number assignment
Primary phone numbers are assigned on a per-line basis and remain associated with your account while your line is active.
5.2 Port-in
You may transfer (“port-in”) an existing wireless or landline number to Halo. You must provide the information required by your prior carrier and the FCC to complete the port. Port-in timelines depend in part on the cooperation of the losing carrier.
5.3 Port-out
You may transfer your Halo number to another carrier at any time. Port-out is a right protected under FCC rules. We will process port-out requests within the timelines required by the FCC and will not impose conditions, early-termination fees, or unreasonable delays. Contact your new carrier to initiate the port.
5.4 Number changes and reclamation
You may request a new number through support. We may also reclaim or change a number if required by our network provider, by court order, or for fraud-prevention reasons; we will provide reasonable notice unless prevented by law.
5.5 Account and SIM security
In accordance with FCC rules, we implement authentication procedures before processing SIM changes, eSIM transfers, or port-out requests to protect against unauthorized access. You must keep your account credentials secure and notify us immediately if you suspect unauthorized activity. We will notify you at your registered contact methods before completing any SIM change or port-out request, and will not process such requests based solely on answers to readily available personal questions.
§6Billing, auto-renewal, taxes & fees
6.1 Plan price
The current plan price is $99.99 per line per month, billed in advance for a one-month service period. If you signed up under a promotional offer, the promotional price shown at checkout applies instead for as long as the offer's terms provide. Prices are in US dollars and are exclusive of taxes and government-mandated fees (see Section 6.3). Your total monthly charge will be displayed before checkout and itemized on every invoice.
6.2 Auto renewal disclosure
Auto renewal: please read. Your subscription automatically renews each month until you cancel.
- Billing date: the same day each month as your initial charge.
- Amount: your plan price ($99.99 per line, or your promotional price if one applies) plus applicable taxes and fees.
- Cancel anytime: in-app under Account → Plan → Cancel, or by emailing support@switchtohalo.com. Cancellation is effective at the end of the current service period.
- Pre-renewal reminder: for any plan with a billing period longer than 30 days, we will send a reminder before renewal as required by California Business & Professions Code § 17602 and similar state laws.
6.3 Taxes and government fees
Your plan price is exclusive of applicable federal, state, and local taxes and government-mandated fees, which may include the Federal Universal Service Fund contribution, federal Telecommunications Relay Service fees, state and local sales and telecommunications taxes, 911 surcharges, and other regulatory-recovery fees disclosed at checkout and itemized on each invoice in accordance with federal truth-in-billing rules.
6.4 Payment
By providing a payment method, you authorize us to charge it for your plan and any taxes and fees. If a charge fails, we will retry and notify you; failure to pay may result in suspension or termination of service after notice as described in Section 21.
§7Cancellation and refunds
No refunds. Plan fees and other charges are non-refundable. We do not offer money-back or partial refunds when you cancel.
Cancel anytime. You may cancel your subscription at any time from Account settings. If you cancel, your service continues through the end of the current billing period you have already paid for. There are no cancellation fees.
Nothing in this section limits refunds or credits that applicable law requires us to provide.
§8Acceptable use
You agree not to use the Services to:
- Send unsolicited or unauthorized commercial messages or place autodialed or prerecorded calls without proper consent (including in violation of the TCPA, CAN-SPAM, or industry messaging rules)
- Engage in fraud, identity theft, harassment, threats, or any illegal activity
- Impersonate any person or entity, or misrepresent your affiliation
- Interfere with, disrupt, or overload the network or other users
- Resell or sublicense the Services without our express written consent
- Use the Services in violation of US export controls, sanctions, or other applicable law
- Use the Services to provide background-check, data-aggregation, surveillance, or similar services to third parties
Excessive, abusive, or commercial-grade usage that materially exceeds individual consumer patterns may be throttled, restricted, or terminated. Where feasible we will notify you before taking action.
§9Privacy features
The Services include privacy features such as automated filtering of unwanted communications, secondary phone numbers, a virtual private network, data-removal assistance, and breach monitoring. These features are provided on an as-is basis and are subject to the following:
- Automated filtering systems may misclassify communications (false positives or false negatives). You may disable filtering, mark items as not spam, or appeal a decision. We are not liable for missed communications resulting from filtering.
- Secondary phone numbers are software-based, do not support emergency calling, are assigned on a revocable basis, and may not be ported to another carrier. Numbers may be reclaimed after extended inactivity. Unlike your primary line, messages sent and received on secondary numbers are routed through our servers and stored so you can view your conversation history. See our Privacy Policy for retention details.
- The VPN routes your traffic through encrypted tunnels in regions you select. The VPN is for lawful use only, does not provide anonymity, and may be unavailable in some regions.
- Data-removal and breach-monitoring features rely on third-party data sources. We do not guarantee removal, that removed data will not reappear, or that every breach will be detected.
9.1 Authorized-agent data removal
When you enable data-removal services, you designate Halo as your authorized agent under the California Consumer Privacy Act (CCPA/CPRA) and similar state laws to submit opt-out and deletion requests to data brokers on your behalf. This designation requires your signed consent, which you provide through the in-app consent flow. To carry out removal requests, we transmit the personal information you provide (such as your name, email address, phone number, and mailing address) to the relevant data brokers. We act solely on your instructions and do not use or retain this information for any purpose other than submitting and tracking your removal requests. You may revoke your authorized-agent designation at any time in your account settings.
See our Privacy Policy for the data practices that apply to these features.
§10Third-party networks & services
The Services depend on third-party networks, infrastructure providers, and other service partners. Their performance, availability, and policies are outside our control. We are not responsible for failures, delays, or disruptions caused by them except as required by law or contract.
§11Lawful process
As a communications carrier, Halo is subject to lawful-process obligations under applicable federal and state law. We respond to validly served legal process consistent with those laws and our Privacy Policy. See the Privacy Policy for additional detail.
§12Communications privacy (CPNI)
Our use of Customer Proprietary Network Information is governed by federal law. See Section 4 of our Privacy Policy for the full disclosure, your right to restrict marketing use of CPNI, authentication procedures, and breach-notification practice.
§13Lifeline
Halo does not participate in the federal Lifeline program. If you receive Lifeline benefits, you may apply them to another participating carrier. See lifelinesupport.org for more information.
§14Accessibility
Halo is committed to making its Services accessible to people with disabilities in accordance with applicable law. For accommodations or to report accessibility issues, contact support@switchtohalo.com.
§15Intellectual property & user content
We and our licensors own the Services, including all software, logos, content, and trademarks. You receive a limited, revocable, non-exclusive, non-transferable license to use the Services as permitted by these Terms.
You retain ownership of content you create and send through the Services. You grant us a limited license to host, transmit, and process that content as needed to provide the Services. We do not claim ownership of your communications. We are not the publisher or speaker of content transmitted by users through the Services and may, but are not obligated to, moderate content.
§16Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT FILTERING WILL CATCH OR PRESERVE EVERY COMMUNICATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO PARTS OF THIS DISCLAIMER MAY NOT APPLY TO YOU.
§17Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOCK APPS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OR DATA; OR PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.
§18Indemnification
You agree to defend, indemnify, and hold harmless Block Apps LLC and its officers, directors, employees, and agents from and against any claim, loss, damage, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Services, (b) your violation of these Terms or applicable law, or (c) content you submit, transmit, or make available through the Services.
§19Arbitration and class action waiver
You and Halo agree to resolve any dispute arising out of or related to these Terms or the Services through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring a claim in small-claims court.
YOU AND HALO EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. The arbitrator may not consolidate the claims of more than one party.
Opt-out: You may opt out of this arbitration agreement within 30 days of creating your account by emailing support@switchtohalo.com with the subject line “Arbitration Opt-Out” and including your name and registered email.
§20Regulatory complaints
If you have a dispute we cannot resolve, you may also file a complaint with your state public-utilities commission, your state Attorney General or consumer-protection office, or the Federal Communications Commission at fcc.gov/complaints.
§21Suspension & termination
We may suspend or terminate your account for non-payment, violation of these Terms, or as required by law. For non-payment, we will provide notice and a reasonable cure period consistent with applicable law before suspension.
You may cancel anytime under Section 6.2. Upon termination, you remain responsible for charges accrued before termination, and you remain entitled to port your number out under Section 5.3.
§22Changes to these Terms
We may update these Terms. Material changes will be communicated by email and in-app notice at least 30 days before they take effect, except that emergency changes required by law or to address a security risk may take effect immediately. Your continued use of the Services after the effective date constitutes acceptance.
§23General provisions
- Governing law - these Terms are governed by the laws of the State of Wyoming, without regard to conflicts-of-laws principles.
- Venue - except for arbitration under Section 19, exclusive venue lies in the state and federal courts located in Nashville, Tennessee.
- Assignment - you may not assign these Terms; we may assign them in connection with a corporate transaction.
- Severability - if any provision is unenforceable, the remaining provisions remain in effect.
- No waiver - our failure to enforce a provision is not a waiver of our right to enforce it later.
- Entire agreement - these Terms, the Privacy Policy, and any plan-specific addenda constitute the entire agreement between you and Halo regarding the Services.
